Terms of Service
Last updated ·
In plain words
- Plans are month to month or annual. You can cancel any time, and your data stays yours.
- We run the service with commercially reasonable efforts. We do not promise a fixed uptime percentage.
- Card processors, delivery apps and GoHighLevel have their own terms, which apply to your use of them.
- Use the service lawfully. Do not attack it, resell it without permission or use it for spam.
- Our total liability is limited to the fees you paid us in the 12 months before the claim.
Who these terms are between
These terms are an agreement between you and SOHOON Technologies, trading as Restaurant POS Studio (“we”, “us”, “our”). “You” means the person or business that visits the website, starts a free trial or buys a plan. If you accept these terms for a restaurant or company, you confirm you have the authority to bind it.
If you sign an order form with us, the order form and these terms work together. Where they conflict, the order form wins.
If you have a question about these terms, contact us through the form on our contact page or the “Show email” button on that page.
What the service is
Restaurant POS Studio is a hosted point-of-sale for restaurants. It runs in a web browser on tablets and computers, with a mobile app available. Depending on your plan, it includes tables and floor plans, kitchen screens, coursing, tips and tip pooling, split checks, modifiers, an online store built from your menu, reports, and optional modules such as HR, accounting and an API.
We also offer:
- Managed Website. We design, host and edit a website for your restaurant, with menu sync from the POS.
- Service Bundle. A Full Service POS plan plus the managed website and a GoHighLevel CRM sub-account set up with our restaurant snapshot.
Features can change as we improve the product. We will not remove a core feature of your paid plan during a paid term without notice and a fair alternative.
Your account
You must give accurate sign-up information and keep it current. You are responsible for your account, your staff logins, PINs and anything done under them. Give each staff member their own login or PIN and remove access when someone leaves. Tell us right away if you believe someone has accessed your account without permission.
You must be at least 18 years old and using the service for a business.
Free trial
New accounts can try the service free for 14 days. No card is needed to start. At the end of the trial, you can choose a plan or let the trial end. If you do not choose a plan, we may delete trial data after the trial ends. Export anything you want to keep before then.
Plans, billing and taxes
- Month-to-month plans are billed each month in advance. You can cancel at any time. Cancellation takes effect at the end of the current month. There is no cancellation fee.
- Annual plans are billed for the year in advance at a lower monthly equivalent price.
- Managed Website has a one-time setup fee plus a monthly fee.
- Prices are shown on our pricing page and in your order form. We will give you at least 30 days’ notice of any price change. A change takes effect at your next renewal.
- Taxes. In the United States, we add sales tax where it applies. In the UAE, our prices include 5% VAT. In Pakistan, applicable sales tax is added to the price.
Refunds are covered by our refund policy, which forms part of these terms.
If a payment fails, we will tell you and try again. If it is still unpaid after a reasonable period, we may limit the account to read-only until it is paid. We will not delete your data for late payment without notice.
Your data belongs to you
Everything you put into the service, including products, prices, photos, customers, sales, bookings and staff records, belongs to you. You give us permission to host, copy, process and display it only as needed to run the service for you, support you and keep the service secure.
- You can export your products, customers and sales to spreadsheets at any time.
- We take daily backups.
- After cancellation, your account stays readable for 30 days so you can export. We then delete it within a further 60 days, except where the law requires us to keep certain records.
You are responsible for having the right to collect and use the personal data you put into the service, for example customer details and staff records, and for giving any notices your local law requires. Our privacy policy explains how we process this data on your behalf.
Card payments and third-party services
We do not process card payments. Card payments run through your own card processor or acquiring bank. Card data stays with your processor.
The service can connect to third-party services, including card processors and payment terminals, wallet providers, delivery apps, accounting tools, messaging services and GoHighLevel. Each third-party service is governed by its own terms and privacy policy, which you agree to directly with that provider. We are not responsible for their fees, outages, decisions or changes. If a third party changes or ends its integration, we will try to tell you, but we cannot guarantee that an integration will stay available.
Acceptable use
You agree not to:
- break any law, including tax, consumer protection, labor, privacy and anti-spam laws;
- send spam or unlawful marketing through the service or the CRM;
- try to access accounts or data that are not yours;
- probe, scan, overload or attack the service, or get around its security or limits;
- copy, reverse engineer or resell the service without our written permission;
- upload malware or content that infringes someone else’s rights;
- use the service to store full card numbers outside your processor’s systems.
We may suspend access if your use puts the service, other customers or the public at risk. Where we can, we will warn you first and give you a chance to fix the problem.
Service availability and support
We use commercially reasonable efforts to keep the service available, secure and working as described. We do not promise a specific uptime percentage. We may carry out planned maintenance, and we try to do it outside busy service hours and to give notice for anything longer than a short interruption.
The service needs an internet connection and compatible devices. You are responsible for your own network, tablets, printers, cash drawers and other hardware. We list hardware the service works with, but we cannot guarantee every model.
Support is provided through the channels shown in your account. Response times depend on your plan.
Managed website and content
For the Managed Website, you give us the content, logos and photos to use. You confirm you have the rights to them. Once the site is live and fees are paid, you own the content you supplied. Our templates, code and design systems remain ours. We license them to you for as long as you keep the managed website with us.
Our intellectual property
The software, the website, our brand and our documentation belong to us or our licensors. These terms give you a right to use the service during your subscription. They do not transfer ownership. If you send us suggestions, we may use them without owing you anything.
Disclaimers
Apart from what these terms expressly say, the service is provided “as is” and “as available”. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. The service helps you run your restaurant. It does not give legal, tax, payroll or labor advice. You are responsible for checking that tax settings, tip handling and payroll results meet the rules where you operate.
Limitation of liability
To the extent the law allows:
- neither party is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data that could have been avoided by exporting or backing up;
- each party’s total liability for all claims under these terms is limited to the fees you paid us in the 12 months before the event that gave rise to the claim.
These limits do not apply to your payment obligations, to either party’s breach of the acceptable use rules or the other’s intellectual property, or to liability that cannot be limited by law.
Indemnity
You will defend and compensate us against third-party claims that arise from your content, your use of the service in breach of these terms, or your breach of law, including claims from your customers or staff.
Ending the agreement
You can cancel at any time in your account settings or by contacting us. We may end these terms if you seriously breach them and do not fix the breach within 14 days of our notice, or right away if the law requires it. When the agreement ends, the data export and deletion periods described above apply.
Governing law and disputes
The governing law and the place for resolving disputes are those stated in your order form. If there is no order form, or it does not say, these terms are governed by the laws that apply at our principal place of business, and disputes will be resolved in the courts there. Before starting any formal claim, both parties agree to try in good faith to resolve the dispute by talking for at least 30 days.
Nothing in this section removes rights that consumer or business protection law in your country gives you and that cannot be waived.
Changes to these terms
We may update these terms. The date at the top shows the current version. For significant changes, we will give at least 30 days’ notice through the service or by message. If you do not agree, you can cancel before the change takes effect.
General
If any part of these terms is found unenforceable, the rest still applies. If we do not enforce a term right away, we can still enforce it later. You may not transfer these terms without our consent. We may transfer them as part of a merger or sale of our business. Neither party is liable for delays caused by events beyond its reasonable control.
